Terms of Service

1. Service Description
Sily is a digital payment facilitation platform operated by Falilabs & Tech Yield LIMITED, registered in accordance with the laws of the Republic of Guinea. The Service enables merchants to generate payment requests and receive payments from customers through integrated payment providers. Sily does not hold, settle, or guarantee funds. All payment settlement occurs between the customer's and the merchant's respective financial service providers.

2. Eligibility and Registration
By registering as a Merchant, you represent and warrant that:
- You are a legal entity or an individual authorised to conduct business in the Republic of Guinea
- All information provided during registration is accurate, complete, and up to date
- You will promptly update any changes to your registration data
- You have the legal authority to accept payments for the goods or services you offer

3. Merchant Obligations
As a Merchant, you agree to:
- Comply with all applicable laws and regulations of the Republic of Guinea, including those relating to anti-money laundering (AML) and counter-terrorism financing (CTF)
- Not use the Service for any fraudulent, illegal, or unauthorised purpose
- Maintain the confidentiality of your account credentials
- Notify Sily immediately of any unauthorised use of your account
- Ensure that your goods or services comply with applicable consumer protection laws

4. Customer Obligations
Customers using the Service agree to:
- Provide accurate payment information
- Ensure they have sufficient funds or credit to complete the transaction
- Not use the Service for any illegal transaction

5. Fees and Charges
Transaction fees, if applicable, are disclosed to the customer prior to payment confirmation. The applicable fee structure and rates may be updated by Sily from time to time. Merchants will be notified of any material changes to fees at least fifteen (15) days before they take effect.

6. Payment Processing
Sily facilitates payment initiation through third-party payment providers. Sily does not control the execution, clearing, or settlement of transactions, which are carried out by the relevant financial institutions. Sily shall not be held liable for any delay, failure, or error caused by third-party payment providers, financial institutions, or network operators.

7. Limitation of Liability
To the maximum extent permitted by the laws of the Republic of Guinea, Sily and its operators, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the Service. In any event, Sily's total aggregate liability shall not exceed the total fees paid by the Merchant in the twelve (12) months preceding the event giving rise to the claim.

8. Intellectual Property
All trademarks, service marks, trade names, logos, and software used in connection with the Service are the property of Falilabs & Tech Yield LIMITED or its licensors. No licence or right to use any intellectual property is granted except as expressly set forth in these Terms.

9. Termination
Merchants may terminate their account at any time by contacting Sily. Sily reserves the right to suspend or terminate access to the Service, without prior notice, for violation of these Terms, fraudulent or illegal activity, or conduct that may harm the platform or its users. Termination shall not affect transactions already processed prior to the termination date.

10. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Guinea and the applicable regulations of the West African Economic and Monetary Union (WAEMO/UEMOA) and the Central Bank of West African States (BCEAO). Any dispute arising from or relating to these Terms shall first be submitted to amicable negotiation. If the dispute remains unresolved after thirty (30) days, it shall be submitted to the competent courts of Conakry, Republic of Guinea.

11. Amendments
Sily reserves the right to modify these Terms at any time. Merchants will be notified of material changes via the email address registered to their account at least fifteen (15) days before the changes take effect. Continued use of the Service after the effective date of any modification constitutes acceptance of the modified Terms.
